Terms of Service

These Terms govern your access to and use of LawMate across web, desktop, and mobile. By using the Services, you agree to these Terms.
1. Definitions
- Client Data means information you or your end users upload, submit, or store in the Services, including documents, messages, matter data, billing data, and signatures.
- AI Features means capabilities that use machine learning (e.g., predictive analytics, insight chips, AI‑assisted drafting, and suggestions).
- Applicable Law includes ESIGN/UETA, LEDES conventions, IOLTA rules, privacy laws, and professional responsibility rules relevant to your use.
2. Accounts & Eligibility
You must provide accurate registration information, maintain the security of credentials, and promptly notify us of any compromise. You are responsible for all activities under your account.
3. No Legal Advice
LawMate is software. The Services (including AI Features) do not constitute legal advice. You are solely responsible for professional judgment, filings, compliance, and client communications.
4. Acceptable Use
- No unlawful, infringing, or deceptive conduct; no content that violates third‑party rights or confidentiality obligations.
- No misuse of the Services (e.g., scraping, reverse engineering except as permitted by law, introducing malware, or bypassing security).
- No use to develop competing datasets or models from Client Data, except as expressly allowed via our API terms.
5. AI Features
- Human‑in‑the‑loop. AI outputs are suggestions; you must review for accuracy, bias, and compliance before use.
- Data handling. We do not train foundation models on Client Data unless you explicitly opt in. We may log usage metadata to operate and secure the Services.
- Safety. We employ content safety filters, but results may vary; do not input prohibited or highly sensitive personal data unless required and lawful.
6. Documents & E‑Sign
- We support workflows aligned with ESIGN and UETA. You are responsible for verifying signer identity, intent to sign, and legal sufficiency in your jurisdiction and matter.
- Watermarks, audit logs, and version history are provided to assist your records; you must retain copies consistent with your retention policy.
- We are not a law firm or a records custodian for subpoena purposes; see Service of Process instructions in Privacy.
7. Billing, LEDES & IOLTA
- LEDES exports (98B/98BI/2000XML) are provided as‑is for your review before submission.
- IOLTA features help track deposits, transfers, and reconciliation; you remain responsible for trust accounting compliance and approvals.
- Payment reminders are facilitative communications; payment processing is performed by integrated providers subject to their terms.
8. Data, Confidentiality & Privacy
- Ownership. As between the parties, you own Client Data.
- License to operate. You grant us a limited license to process Client Data to provide, secure, and support the Services.
- Confidentiality. Each party will protect the other’s confidential information using reasonable safeguards.
- Privacy. Our data practices are described in our Privacy Policy. For regulated data (e.g., special categories), you must ensure lawful basis and notices.
- Retention & export. You may export data during your subscription; after termination, we may retain logs for security, audit, and legal obligations.
9. Security & Compliance
We implement administrative, technical, and physical safeguards (including encryption and access controls). See our Security page and Status page for more information.
10. Third‑Party Services
Certain features rely on providers (e.g., identity, payments, email/SMS, AI). Their terms govern your use of those services; we are not responsible for third‑party failures.
11. API & Webhooks
If you use our API or webhooks, you must secure tokens, respect rate limits, and avoid abusive traffic. You are responsible for your applications and their users.
12. Fees, Taxes & Refunds
- Fees are due as stated at purchase; subscriptions renew unless canceled.
- Taxes and government charges (if any) are your responsibility.
- Trials and promotional credits are discretionary and may be modified or revoked.
13. Term, Suspension & Termination
We may suspend or terminate for material breach, legal risk, or security concerns. Upon termination, your access ends; data handling follows Section 8.
14. Ownership & Feedback
We and our licensors retain rights in the Services. Feedback is voluntary and may be used to improve the Services without obligation.
15. Warranties & Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY. EXCEPT FOR PAYMENT OBLIGATIONS OR INDEMNITY, EACH PARTY’S AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO US FOR THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
17. Indemnification
You will defend and indemnify us from third‑party claims arising from your unlawful use of the Services, violation of these Terms, or infringement/misappropriation by Client Data or your applications.
18. Governing Law, Dispute Resolution & Arbitration
These Terms are governed by the laws of your contracting entity’s jurisdiction (without regard to conflicts principles). Any dispute will be resolved by binding arbitration on an individual basis; class actions are waived. Either party may seek injunctive relief for misuse or IP infringement in a court of competent jurisdiction.
19. Changes to the Terms
We may update these Terms to reflect improvements, regulatory changes, or new features. Material changes will be notified through the Services or email and become effective as stated in the notice.
